Agreement to terms

By accessing primexexcelmaxon.pro or engaging Primexexcelmaxon for analytics modules, you agree to these General Terms. If you disagree, discontinue use and contact us to close any active statements of work.

Services described

We provide healthcare operations analytics modules, facilitation, and related advisory deliverables as described in individual order documents. Outputs are informational and require your operational judgment; they are not clinical decision systems.

Client responsibilities

You maintain lawful rights to data you supply, ensure accurate metadata, and designate authorized contacts. You secure credentials, classify sensitive fields, and inform us promptly of security events that may affect shared workspaces.

Intellectual property

You retain ownership of your data. We retain ownership of our templates, software artifacts, and methodologies, granting you a non-exclusive license to use deliverables for internal operational purposes unless otherwise written.

Confidentiality

Both parties protect confidential information using reasonable safeguards. Either party may disclose when required by law, provided notice is given where legally permissible.

Liability limits

To the fullest extent permitted by Singapore law, neither party is liable for indirect or consequential losses arising from use of dashboards or forecasts. Direct liability caps follow the amounts paid in the twelve months preceding a claim unless a separate agreement states otherwise.

Governing law and disputes

These terms are governed by the laws of Singapore. Parties attempt good-faith negotiation before pursuing mediation or courts located in Singapore, except where injunctive relief is necessary to protect data or intellectual property.

Termination and changes

Either party may terminate for material breach after written cure periods aligned to your order form. We may update these terms with notice; continued use after the effective date constitutes acceptance. Archived copies are available on request.
